These Terms of Service (hereinafter "ToS") govern the relationship between trAInyng, a company established in Belgium (hereinafter "the Provider"), and any natural or legal person (hereinafter "the Client") using its cybersecurity, artificial intelligence, GDPR/NIS2 compliance, training and development consulting services.
"Services" refers to all consulting, audit, training, development and support services offered by trAInyng. "Free Diagnostic" refers to the non-intrusive, automated analyses (cyber diagnostic, AI diagnostic, compliance mini-audit) carried out based on publicly available information. "Deliverables" refers to any document, report, source code, configuration or recommendation produced within the scope of an engagement.
The free diagnostics offered by trAInyng (cybersecurity diagnostic, AI diagnostic, compliance mini-audit) are non-intrusive, automated analyses. They are carried out based on publicly available information (DNS records, HTTP headers, SSL certificates, etc.) and do not constitute a comprehensive security audit or penetration test. The results are provided for informational purposes only and shall not engage the liability of the Provider. These diagnostics are free of charge and without obligation.
Consulting engagements are carried out on the basis of a prior quote accepted by the Client. Rates are expressed in euros excluding VAT. The Provider undertakes to deliver its services with diligence and professionalism, in accordance with industry best practices. The Provider's obligation is an obligation of means, unless expressly stated otherwise in the quote. The Client undertakes to provide the Provider with all information and access necessary for the proper execution of the engagement.
Unless otherwise agreed in writing, deliverables produced within the scope of an engagement are transferred to the Client upon full payment. The Provider's generic tools, methodologies, frameworks and know-how remain its exclusive property. The Client benefits from a non-exclusive licence to use the deliverables for its internal needs.
The Provider's liability is limited to the total amount of fees actually received for the engagement in question. The Provider shall not be held liable for indirect damages, data loss, loss of revenue or consequential damages. The Provider shall not be held liable for decisions taken by the Client on the basis of recommendations or diagnostic results provided.
The parties undertake to maintain the confidentiality of all information exchanged in the context of their collaboration. This confidentiality obligation survives the end of the contractual relationship for a period of 3 years. Diagnostic and audit results will never be shared with third parties without the Client's written consent.
These ToS are governed by Belgian law. In the event of a dispute, the parties undertake to seek an amicable solution. Failing agreement, the courts of Belgium shall have sole jurisdiction.
